The Center Valley Logistics Inc. and its subsidiaries and affiliates (collectively, "Center Valley Logistics Inc."), as well as their applications (including mobile applications), websites, content, products, and services (collectively, the "Services"), are subject to these Terms of Use ("Terms"). Before using the services, PLEASE READ THESE TERMS CAREFULLY. The terms "including" and "including" have the meanings "including, but not limited to" in these Terms.

You agree to be bound by these Terms by accessing and using the Services, which creates a binding contract between you and Center Valley Logistics Inc.. Except for any motor carrier agreement between the shipper or carrier you represent (as applicable) and Center Valley Logistics Inc., these Terms do not supersede any other agreements with respect to the subject matter of these Terms. To the extent that any other agreement conflicts with these Terms, the other agreement will take precedence. Center Valley Logistics Inc. has the right to stop providing you with access to the Services or any part of them at any time and for any reason, without providing you with prior notice.

You consent to keeping all login information for accessing or using the Services confidential and to only allowing authorized users to do so. Any activity that utilizes your login credentials is your responsibility.

These Terms may be modified from time to time by Center Valley Logistics Inc. Changes take effect when Center Valley Logistics Inc. posts the revised Terms at this site. You agree to be governed by the Terms as revised if you continue to access or use the Services after such posting.

License- Center Valley Logistics Inc. thus grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Services, subject to your compliance with these Terms. Center Valley Logistics Inc. (and its affiliates, as applicable) and Center Valley Logistics Inc.'s licensors reserve any rights not expressly granted herein.

Restrictions-Without Center Valley Logistics Inc.'s express permission, you are not allowed to: I remove any copyright, trademark, or other proprietary notices from any part of the Services; (ii) reproduce, modify, create derivative works based on, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise make use of the Services; (iii) decompile, disassemble, reverse engineer, or otherwise do any of the following or (vi) make an unauthorized effort to access or damage any aspect of the Services or the networks or systems that are connected to them.

Ownership- The Services and all associated rights are and will continue to be the property of Center Valley Logistics Inc. or the licensors of Center Valley Logistics Inc. Except for the limited license granted above, nothing in these Terms or your use of the Services grants you any rights: I in or related to the Services; or (ii) to use or refer to Center Valley Logistics Inc.'s or its licensors' company names, logos, product and service names, trademarks or service marks in any way.

THE SERVICES ARE SOLD AS IS AND AS IS AVAILABLE. ASIDE FROM WHAT IS EXPRESSLY STATED IN THESE TERMS, CENTER VALLEY LOGISTICS INC. DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPLICIT, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN ADDITION, CENTER VALLEY LOGISTICS INC. MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE DEPENDABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES, OR THAT THEY WILL BE ERROR-FREE OR UNINTERRUPTED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR ACCESS OR USE OF THE SERVICES REMAINS SOLELY WITH YOU.

CENTER VALLEY LOGISTICS INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF CENTER VALLEY LOGISTICS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CENTER VALLEY LOGISTICS INC. SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD-PARTY PROVIDER, EVEN IF CENTER VALLEY LOGISTICS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.A DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND CENTER VALLEY LOGISTICS INC.'S REASONABLE CONTROL IS EXEMPT FROM LIABILITY. ANY USER CONTENT OR THIRD-PARTY CONTENT THAT IS ACCESSIBLE THROUGH OR LINKED TO BY THE SERVICES IS NOT IN THE CONTROL OF, ENDORSED BY, OR UNDER THE RESPONSIBILITY OF CENTER VALLEY LOGISTICS INC. (INCLUDING INFORMATION ON THE SERVICES PROVIDED BY USERS OR BY SHIPPERS). THE SERVICES OR SERVERS MAY NOT BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, BUT CENTER VALLEY LOGISTICS INC. CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THEY ARE.

Indemnity- As a condition of using the Services and/or violating any of these Terms, you agree to defend, indemnify, and hold Center Valley Logistics Inc., its affiliates, and each of their officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees).

Arbitration

Except for the right of each party to file a claim in small claims court and the right to seek injunctive or other equitable relief, you and Center Valley Logistics Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, including breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes"), must be exclusively and finally resolved by confidential and final arbitration.

You understand and accept that Center Valley Logistics Inc. and you are individually renouncing our right to a jury trial as well as our right to take part as plaintiffs or as a class in any alleged class action or representative process. Additionally, unless both you and Center Valley Logistics Inc. agree otherwise in writing, the arbitrator may not join the claims of more than one individual, and they may not also exercise their authority to presiding over any kind of class or representative action. The whole "Dispute Resolution" section shall be rendered void if any portion of this particular paragraph is determined to be unenforceable. This "Dispute Resolution" section will remain in effect even if these Terms are terminated, except for what was stated in the sentence above. Arbitration Rules and Governing Law-The arbitration will be administered by Judicial Arbitration and Mediation Services (“JAMS”) in Bakersfield, California, or other location as determined by Center Valley Logistics Inc.. Any arbitration conducted pursuant to these Terms shall be governed by the Federal Arbitration Act (9 U.S.C. § 1-16).

Negotiation- Prior to initiating an arbitration, you and Center Valley Logistics Inc. each agree to notify the other party in writing of any dispute and to attempt to negotiate an informal resolution. Notice to Center Valley Logistics Inc. must be sent to Center Valley Logistics Inc., Attn: Legal Department, PO BOX 42106. Bakersfield, Ca 93384. Neither party shall initiate arbitration until 30 days after the notice is sent.

Arbitrator's Decision

Any arbitration award made in accordance with this Section 4 shall be final and enforceable against you and Center Valley Logistics Inc., and judgment on it may be entered and enforced in any court with jurisdiction. Regarding the kinds and sums of damages for which a party may be held liable, the arbitrator's award damages must be consistent with the provisions of the "Limitation of Liability" section above. Only the claimant may receive declaratory or injunctive relief from the arbitrator, and only to the degree required to satisfy the claimant's particular claim.

Text Messaging and Telephone Calls

You consent to Center Valley Logistics Inc. calling or texting you at any of the phone numbers supplied by you or someone acting on your behalf, including through an automated dialing system, an artificial voice, or pre-recorded messages, including for marketing reasons. You are aware that getting any goods, services, or property is not contingent on giving this consent. You are also aware that at any moment, you can choose not to receive SMS messages from Center Valley Logistics Inc. by answering with the word "STOP" on the mobile device that is receiving the messages.

User Provided Content

Center Valley Logistics Inc. may occasionally allow you to submit, upload, publish, or otherwise make available to Center Valley Logistics Inc. through the Services textual, audio, visual, or other content and information, including load information, commentary and feedback related to the Services, ratings and reviews (including of motor carriers and facilities), the beginning of support requests, and submission of entries. This is at Center Valley Logistics Inc.'s sole discretion. Any User Content that you submit is still yours. You do, however, grant Center Valley Logistics Inc. a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any way such User Content in all formats and distribution channels now known or hereafter developed (including in connection with the Services) by providing Center Valley Logistics Inc. with your User Content.

You hereby represent and warrant that I you are the sole and exclusive owner of all User Content, (ii) you have all rights, licenses, consents, and releases necessary to grant Center Valley Logistics Inc. the license to use the User Content as set forth above, and (iii) neither the User Content nor your submission, uploading, publishing or otherwise making such User Content available, nor Center Valley Logistics Inc.'s use of the User Content as permitted herein will infringe upon the intellectual property rights of

You agree not to submit any User Content that Center Valley Logistics Inc., in its sole discretion, deems to be defamatory, libelous, hateful, violent, obscene, pornographic, illegal, or otherwise offensive, regardless of whether or not such material may be protected by the law. In its sole discretion, at any time, for any reason, and without prior notice to you, Center Valley Logistics Inc. may, but is not obligated to, review, monitor, or remove User Content.

Network Access and Devices- It is your responsibility to secure the data network access required to use the Services. If you access or use the Services from your mobile device, the data and message rates and costs of your mobile network may be applicable. You are in charge of obtaining and maintaining any compatible hardware or software required to use and access the Services, applications, and any updates thereto. Center Valley Logistics Inc. makes no guarantees as to the functionality of the Services or any component thereof on any specific hardware or gadgets. Delays and problems associated with using the Internet and electronic communications may also affect the Services.

Choice of Law and Notification of Copyright Infringement

Except as may be expressly stated in supplemental terms specific to your region, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving respect to any principles of conflict of law.

Center Valley Logistics Inc.'s policy is to disable and/or terminate the accounts of users who regularly violate or are repeatedly accused of violating the copyrights or other intellectual property rights of others when appropriate and at its discretion.

Center Valley Logistics Inc. will promptly respond to notices sent to Center Valley Logistics Inc.'s Designated Copyright Agent (listed below) regarding alleged third-party copyright infringements on the Center Valley Logistics Inc. website or other Center Valley Logistics Inc.-owned and publicly accessible digital properties (in accordance with the Digital Millennium Copyright Act of 1998 (the "DMCA") and in recognition of various international copyright laws).

A copyright owner, person authorized to act on behalf of one, or person authorized to act under any the following DMCA Notice of Alleged Infringement and delivering it to Center Valley Logistics Inc.'s Designated Copyright Agent will report claims of copyright infringements on the Site(s). Center Valley Logistics Inc. shall swiftly remove or restrict access to the allegedly infringing content after receiving this DMCA notice, inform the accused third party infringer of the same, and give the third party a chance to file a counter-notice disputing the alleged infringement. Unless the complainant provides proof that it has brought legal action against the alleged third-party infringer regarding the allegedly infringing content, Center Valley Logistics Inc. will promptly forward any counter-notice to the complainant and reinstate the deleted or blocked content within 10-14 business days of receiving it.

DMCA Notice of Alleged Infringement (“DMCA Notice”)

If more than one copyrighted work is affected by this DMCA notice, specify which copyrighted work has been violated and provide a representative list of those works. Identify the infringement-causing content and give Center Valley Logistics Inc. enough details to find it, such as, if appropriate, the URL(s) of the website(s) where it may be found.

Give contact information for the person filing this DMCA notice (for example, the copyright owner or the owner's agent), such as mailing address, phone number, and email address.

The DMCA Notice should include both of the following sentences: "I hereby assert that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the owner of the copyright, its agent, or the law (for example, as a fair use).

I hereby declare that the information in this DMCA notice is true and, under penalty of perjury, that I am the owner of the copyright or of an exclusive right under the copyright that is allegedly infringed, or that I have the authority to act on the owner's behalf.
